1. Agreement to Terms

By accessing or using the ZenDealer website (zendealer.com) and any ZenDealer products or services, including Facebook Marketplace posting tools and the Chat Pro lead management system (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, you must not use the Services.

2. Eligibility and Accounts

The Services are intended for business use by dealers and related professionals. You are responsible for maintaining the confidentiality of your account login and for all activity under your account.
You agree to provide accurate information and to notify ZenDealer promptly of any unauthorized use of your account.

3. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms and any applicable platform rules (including Facebook Marketplace policies and other third‑party terms).
You are solely responsible for the content of your listings, inventory data, lead information, and communications sent through the Services.

4. Dealer Content and License

You retain ownership of the content and data you submit or upload to the Services (such as inventory, images, descriptions, and lead data).
By using the Services, you grant ZenDealer a non‑exclusive, worldwide license to use, host, copy, and display such content as needed to operate, maintain, improve, and support the Services.

5. Third‑Party Services and Platforms

The Services may connect with or rely on third‑party platforms and tools (such as Facebook, CRMs, inventory providers, or messaging systems).
Your use of third‑party services is subject to their own terms and policies. ZenDealer is not responsible for third‑party services, their availability, or their acts or omissions.

6. Payments and Subscriptions

Some Services are offered on a paid, month‑to‑month subscription basis, with no long‑term contract unless otherwise agreed in writing.
You agree to pay all fees and charges associated with your chosen plan. Unless stated otherwise, fees are non‑refundable. You are responsible for any applicable taxes.

7. Cancellation and Termination

You may cancel your subscription according to the cancellation terms communicated to you (for example, with at least thirty (30) days’ notice before the next billing period, if applicable).
ZenDealer may suspend or terminate your access to the Services at any time, with or without notice, if you breach these Terms, misuse the Services, or where required by law or by a third‑party platform.

8. Intellectual Property

All software, technology, designs, trademarks, and content provided by ZenDealer (excluding your own content) are owned by or licensed to ZenDealer and are protected by intellectual property laws.
You receive a limited, non‑exclusive, non‑transferable license to access and use the Services for your internal business purposes, subject to these Terms.

9. Prohibited Activities

You agree not to:

• Reverse engineer, modify, or attempt to gain unauthorized access to the Services or related systems.

• Use the Services in any manner that violates applicable law or third‑party policies.

• Interfere with the proper working of the Services, including by introducing malware or excessive automated requests.

10. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied.
ZenDealer does not warrant that the Services will be uninterrupted, error‑free, or that they will produce any particular results, leads, or sales outcomes.

11. Limitation of Liability

To the maximum extent permitted by law, ZenDealer will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, or data, arising from or related to your use of the Services.
ZenDealer’s total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to ZenDealer for the Services during the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless ZenDealer and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Services.

• Your content, listings, or communications.

• Your violation of these Terms or of any applicable law or third‑party rights.
